End-User License Agreement (EULA)

This End-User License Agreement (the “Agreement”) is entered into between OnTech Solutions Corp., a company organized under the laws of the Republic of Panama (“OnTech”, “we”), and the company that contracts the service and each person it authorizes to use it (the “Customer” or “you”). By accessing or using the application available at contab.ontech.la (the “Application”), or by connecting it to QuickBooks Online, you accept this Agreement. If you do not accept it, do not use the Application.
1. Purpose of the Application
The Application connects to the Customer’s QuickBooks Online company to prepare tax reports and documents for the Republic of Panama: Annexes 72, 73 and 94, Form 43, the ITBMS withholding report and its file for the Dirección General de Ingresos (DGI), and ITBMS withholding certificates, which can be downloaded and sent by e-mail to the Customer’s vendors.
2. License
Subject to this Agreement and to the payment of the agreed fees, OnTech grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable license to use the Application, during the term of the service, solely for the Customer’s internal business purposes.
3. Connection to QuickBooks Online
- The connection is made by an administrator of the Customer through Intuit’s authorization screen (OAuth 2.0). The Customer authorizes the Application to read its vendors, chart of accounts, bills, purchases (expenses) and vendor credits, and to update a vendor’s data in QuickBooks only when an authorized user saves changes to that vendor in the Application.
- The Customer may disconnect the Application at any time from the Application itself or from its Intuit account; the access tokens are then revoked.
- Intuit Inc. is not a party to this Agreement and is not responsible for the Application. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Use of QuickBooks is governed by the Customer’s own agreements with Intuit.
4. Users and accounts
The Customer is responsible for the users it creates, for keeping their credentials confidential and for all activity performed with them. The Customer must notify OnTech promptly of any unauthorized use. Users are personal and may not be shared.
5. Restrictions
The Customer may not: (a) copy, modify, decompile or reverse engineer the Application, except where the law expressly allows it; (b) sell, rent, sublicense or make the Application available to third parties; (c) attempt to access data of other customers or bypass the Application’s security measures; (d) use the Application for unlawful purposes or to send unsolicited e-mail; or (e) interfere with its operation.
6. Customer data and responsibility for tax filings
- The data imported from QuickBooks and entered in the Application belong to the Customer. OnTech processes them only to provide the service, as described in the Privacy Policy.
- The Application generates its reports from the data recorded in QuickBooks and from the configuration made by the Customer (for example, the accounts assigned to each annex and the withholding percentage). The Customer is solely responsible for the accuracy of that data and configuration, and for reviewing every report, file and certificate before filing it with the DGI or sending it to third parties.
- The Application does not provide tax, accounting or legal advice.
7. Intellectual property
The Application, its source code, design and documentation are the property of OnTech or its licensors and are protected by law. This Agreement does not transfer any ownership right; any right not expressly granted is reserved.
8. Fees
Fees, billing and payment terms are those agreed in writing between OnTech and the Customer. OnTech may suspend the service in the event of non-payment after prior notice.
9. Availability and support
OnTech will use reasonable efforts to keep the Application available and to provide support through info@ontech.la. The Application may be temporarily unavailable due to maintenance, updates or causes beyond OnTech’s control, including the unavailability of QuickBooks Online or the Customer’s e-mail provider. Unless otherwise agreed in writing, no specific service level is guaranteed.
10. Disclaimer of warranties
To the extent permitted by law, the Application is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose or uninterrupted, error-free operation.
11. Limitation of liability
To the extent permitted by law, OnTech shall not be liable for indirect, incidental, special or consequential damages, loss of profits or data, or tax penalties or surcharges arising from the use of the Application or from information filed by the Customer. OnTech’s total liability under this Agreement shall not exceed the amounts paid by the Customer for the service during the twelve (12) months prior to the event giving rise to the claim.
12. Term and termination
This Agreement remains in force while the Customer uses the service. Either party may terminate it with written notice; OnTech may also terminate or suspend it immediately in the event of a serious breach. Upon termination the license ends, the connection to QuickBooks is revoked, and the Customer’s data is handled as described in the Privacy Policy.
13. Changes
OnTech may update this Agreement. The current version, with its effective date, is always published at this address. Significant changes will be notified to the Customer’s administrators in advance; continued use after the effective date implies acceptance.
14. Governing law and jurisdiction
This Agreement is governed by the laws of the Republic of Panama. Any dispute shall be submitted to the competent courts of Panama City, Republic of Panama. If a provision is held invalid, the remaining provisions shall remain in effect.
